2. Scope of Work
Before starting a project, Dream Grow Digital may provide a written quotation, proposal, package, or scope of work.
Depending on the service, it may specify:

• Client responsibilities

Work outside the agreed scope may require additional charges and written approval.

For marketplace management services, Dream Grow Digital may assist with activities such as:

• Account health monitoring

• Marketplace advertising
• Seller support coordination
• Performance monitoring
• Marketplace onboarding and documentation
• Other activities included in the agreed scope
The exact activities performed depend on the marketplace, client's account status, selected service package, and platform capabilities.
4. Marketplace Onboarding
Dream Grow Digital may assist clients with marketplace onboarding, including documentation, registration, catalogue preparation, brand information, category selection, verification support, and application follow-up.
However, marketplace approval is ultimately controlled by the respective marketplace/platform.
Therefore, Dream Grow Digital does not guarantee:
• Seller account approval
• Brand approval
• Category approval
• Marketplace activation
• Specific onboarding timelines
• Acceptance of a particular product or catalogue
Delays caused by marketplace verification, additional documentation requests, technical issues, policy changes, or third-party processes are outside our direct control.
5. Sales, Revenue & Ranking Disclaimer
Our marketplace management services are intended to improve account performance, product visibility, conversions, and overall marketplace growth.
However, Dream Grow Digital does not guarantee a specific number of orders, sales, revenue, profit, ranking position, Buy Box ownership, ROAS, ROI, or conversion rate.
Marketplace performance depends on multiple factors, including:

• Product quality
• Pricing
• Competition
• Reviews and ratings
• Inventory availability
• Seller performance
• Advertising budget
• Marketplace algorithms
• Customer behaviour
• Seasonal demand
• Marketplace policies
Any projections or estimated growth discussed with a client are strategic estimates and should not be considered guaranteed results.
6. Marketplace Advertising & PPC
Where advertising management is included in the selected service package, Dream Grow Digital may manage:
• Campaign structure
• Keyword targeting
• Product targeting
• Bids
• Budgets
• Search terms
• Campaign optimization
• Performance monitoring
• Advertising reports
Advertising expenditure paid to marketplaces or advertising platforms is separate from Dream Grow Digital's professional service fee unless specifically stated otherwise.
Advertising performance may vary depending on competition, product conversion rate, pricing, demand, marketplace algorithms, and available advertising budget.
7. Client Responsibilities
The client must provide accurate and complete information required for the delivery of services.
This may include:
• Business details
• GST information
• Brand/trademark documents
• Product information
• Product images
• Product specifications
• Pricing
• Inventory information
• Product certifications
• Licences
• Marketplace account access
• Advertising budgets
• Website content
• Required approvals
The client is responsible for ensuring that the information and documents provided to Dream Grow Digital are accurate, lawful, and up to date.
Delays caused by missing documents, incorrect information, delayed approvals, or delayed access may affect the project timeline.
8. Marketplace Account Access
For account management services, the client may provide authorized access to marketplace seller accounts.
Dream Grow Digital will use such access only for activities related to the agreed services.
The client remains responsible for ensuring that:
• It legally owns or controls the account.
• It has authority to provide account access.
• The information provided is accurate.
• Access permissions are properly authorized.
Clients should not provide unnecessary sensitive information such as OTPs, banking PINs, or personal passwords unless a particular platform process specifically requires it.
9. Product & Regulatory Compliance
The client is responsible for ensuring that its products comply with applicable laws, regulations, certifications, marketplace policies, and product-specific requirements.
Depending on the product category, this may include:
• GST compliance
• Trademark authorization
• BIS certification
• FSSAI requirements
• Cosmetic/product licences
• Product safety requirements
• Labelling requirements
• Import/export documentation
• Copyright and trademark requirements
• Product authenticity
Dream Grow Digital may assist with marketplace documentation and operational processes but does not replace professional legal, tax, regulatory, or certification advice.
10. Website Development Services
Where website development is included, the scope of work will be determined by the approved quotation or proposal.
The client is responsible for providing:
• Brand logo
• Product information
• Images
• Written content
• Pricing
• Business information
• Required approvals
• Domain/hosting access where applicable
Additional pages, features, integrations, revisions, or functionality outside the agreed scope may involve additional charges.
Third-party services such as domains, hosting, plugins, themes, payment gateways, APIs, applications, or subscriptions may have separate charges and third-party terms.
11. Payments & Taxes
All payments must be made according to the payment terms specified in the applicable quotation, proposal, invoice, or agreement.
Unless otherwise stated:
• Applicable GST will be charged separately.
• Marketplace fees are separate from our professional fees.
• Advertising expenditure is separate.
• Domain and hosting charges may be separate.
• Third-party software or service charges may be separate.
• Additional work outside the agreed scope may be charged separately.
• Failure to make payments within the agreed timeline may result in suspension or delay of services.
12. Service Suspension
Dream Grow Digital may temporarily suspend services where:
• Payments are overdue.
• Required information has not been provided.
• Required marketplace access is unavailable.
• The client requests unlawful or prohibited activity.
• The client violates marketplace policies through activities outside our control.
• There is a significant security, fraud, or compliance concern.
Services may resume once the relevant issue has been resolved.
13. Intellectual Property
The client remains responsible for ensuring that it has the necessary rights to use logos, product images, trademarks, written content, videos, product information, and other materials supplied to Dream Grow Digital.
Dream Grow Digital retains ownership of its proprietary:
• Processes
• Internal strategies
• Templates
• Frameworks
• Systems
• Methodologies
• Internal tools
• Business materials
Client-specific deliverables created and paid for under the agreed scope may be used by the client for its business purposes, subject to applicable third-party intellectual property rights.
14. Confidentiality
Dream Grow Digital may receive confidential business information while providing services.
This may include:
• Sales information
• Marketplace reports
• Pricing
• Advertising data
• Product information
• Supplier information
• Business strategies
• Account information
• Financial information
We will take reasonable measures to protect confidential information and will not knowingly disclose it to unauthorized parties except where required by law or necessary to provide the agreed services.
15. Third-Party Platforms
Our services may involve third-party platforms such as Amazon, Flipkart, Meesho, Myntra, Ajio, Nykaa, Blinkit, Swiggy Instamart, BigBasket, JioMart, FirstCry, eBay, Etsy, Walmart, Shopify, payment providers, hosting providers, or other third-party services.
Dream Grow Digital does not control these platforms.
We are therefore not responsible for:
• Marketplace outages
• Algorithm changes
• Policy changes
• Platform fee changes
• Platform suspensions
• Account restrictions imposed by the marketplace
• Advertising cost changes
• Technical failures
• Verification delays

16. Limitation of Liability
Dream Grow Digital will make reasonable professional efforts to deliver the services described in the agreed scope.
However, we are not responsible for indirect or consequential losses arising from circumstances outside our reasonable control, including marketplace decisions, platform downtime, algorithm changes, account restrictions, loss of sales, loss of profits, or third-party service failures.
Nothing in these Terms is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.
17. Force Majeure
Dream Grow Digital will not be responsible for delays or inability to perform services caused by circumstances beyond our reasonable control, including:
• Marketplace outages
• Internet failures
• Hosting failures
• Government restrictions
• Natural disasters
• Power failures
• Cybersecurity incidents
• Third-party service failures
• Marketplace policy changes
• Other unforeseen circumstances
18. Client Communication & Approvals
The client is responsible for providing timely approvals, information, documents, and responses required to complete the agreed services.
Where client approval is required before publishing listings, launching campaigns, making website changes, or implementing other deliverables, delays in approval may affect delivery timelines.
Dream Grow Digital will not be responsible for delays caused by delayed client responses or approvals.
19. Policy Updates
Dream Grow Digital may update these Terms & Conditions from time to time to reflect changes in our services, business practices, technology, or applicable legal requirements.
The latest version will be published on this page with the updated Effective Date.
19. Governing Law & Jurisdiction
These Terms shall be governed by the applicable laws of India.
The parties should first attempt to resolve any dispute through good-faith communication.
Where a dispute cannot be resolved amicably, it may be subject to the jurisdiction of the appropriate courts having jurisdiction over Noida, Uttar Pradesh, India, subject to applicable law.
